TERMS OF USE - CHEMFORWARD SERVICES

Please read the following information carefully before using ChemFORWARD services. By continuing, you agree to ChemFORWARD Terms of Use and Privacy Policy.

These Terms of Use, together with the applicable Order Form incorporating these Terms of Use ("Order"), form an agreement (the "Agreement") between the entity identified as the "Customer" on the applicable Order Form ("You") and ChemFORWARD Foundation, a Delaware 501(c)(3) organization. Please read the following information carefully before using the ChemForward website or services (including any ChemForward account) (collectively and individually, the "ChemForward Services"). By signing the Order Form or using the ChemForward Services, you agree to these Terms of Use (these "Terms") and to the ChemForward Privacy Policy, which is incorporated herein by reference.

THESE TERMS ARE SUBJECT TO THE DISPUTE RESOLUTION AND ARBITRATION PROVISIONS SET FORTH IN SECTION 10.

As used herein, the "ChemForward Services" include the ChemForward website and services, the ChemForward Chemical Hazard Assessments ("CHAs" or "ChemForward CHAs") and any related software code, application, documentation, queries, content, reports, analyses, displays, text, graphics, charts, images, and any updates or enhancements to these items.

1. Access, Registration and Use

Although registration is not required to access certain features of the ChemForward Services, registration as a subscriber is required in order to access some features, including ChemForward CHAs. You agree that all information you provide to ChemForward in connection with your access to and use of the ChemForward Services (including, but not limited to, all information that you provide during registration) is true, accurate and complete to the best of your knowledge, and that you will maintain and routinely update such information to keep it true, accurate and complete. ChemForward reserves the right to terminate, refuse, restrict, or discontinue your access to the ChemForward Services at any time, without notice or liability, in the event that information provided by you in any registration process is materially false or incomplete or if you otherwise fail to comply with this Agreement.

By providing ChemForward your email address during registration, you consent to ChemForward's use of the email address to send you notices and information relating to the ChemForward Services, including any notices required by law, in lieu of communication by postal mail or other means. ChemForward may also use your email address to send you other messages, such as changes to features of the ChemForward Services and special offers. If you do not want to receive such email messages, you may opt out or change your preferences in your account settings. Opting out may prevent you from receiving email messages regarding updates, improvements, or offers.

2. Authority

You represent and affirm that you have all necessary authority to access and use the ChemForward Services. You are exclusively responsible for obtaining all required consents and approvals from any suppliers, manufacturers, distributors, customers, and other third parties who may be affected by, or may need to consent to, your access to and use of the ChemForward Services, including the ChemForward CHAs, whether such consents and approvals are required by law or otherwise.

3. Copyright, Trademark, and other Intellectual Property Rights

ChemForward or its licensors own all content contained in and provided by the ChemForward Services. The copying, redistribution, or modification of, or creation of derivative works based on, any portion of the ChemForward Services is expressly prohibited.

ChemForward or its licensors own all trademarks, service marks, logos, slogans, and names of the ChemForward Services, which may not be used without the prior written authorization of ChemForward.

If you post or submit any content or materials to or through the ChemForward Services ("User Content"), you represent and warrant that (a) you own all necessary rights and permissions in such User Content, and (b) said User Content does not violate or infringe the intellectual property, proprietary or personal rights of any person or entity and does not violate any law. You grant ChemForward a perpetual, nonexclusive, worldwide, royalty-free, sublicensable license to your User Content, which includes without limitation the right for ChemForward or any third party it designates to use, copy, transmit, excerpt, modify, publish, translate, create derivative works from, perform, store and display the User Content, in any format or media whether now known or hereinafter developed. You are solely responsible for your User Content and any claims relating to same. However, while ChemForward does not and cannot review all User Content and is not responsible for User Content, ChemForward reserves the right to delete, move, or edit User Content that ChemForward, in its sole discretion, deems abusive, defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable.

4. Limitations of ChemForward Services

Although ChemForward and its licensors endeavor to provide accurate information, the ChemForward Services are provided for informational purposes only and may not be complete, accurate, or current descriptions of the chemicals and products described therein. Your use of the ChemForward Services or requests for additional information, whether by submission of an online form, by email, or otherwise, does not replace or amend these Terms. All ChemForward Services are subject to change at any time without notice. If it is not possible to supplement or amend a ChemForward CHA to maintain its accuracy and reliability, such CHA may be withdrawn from the ChemForward Services.

5. Use of ChemForward Services

Subject to your compliance with the terms of this Agreement, including without limitation, payment of all applicable fees set forth on the applicable Order, ChemForward grants you a limited license to access and use the ChemForward Services for the term set forth on the applicable Order, at the level of access specified in the applicable Order, solely for your internal business purposes, and subject to any other restrictions or limitations set forth on the applicable Order. Except as expressly provided in these Terms, or in the applicable Order, any alteration, modification, reproduction, redistribution, retransmission, redisplay or other use of the ChemForward Services in any other manner or for any other purposes constitutes an infringement of the intellectual property and other proprietary rights of ChemForward and its licensors. You shall not remove or alter any copyright notice or other proprietary rights or attribution notice placed on or in any ChemForward CHA, or otherwise made available by ChemForward through the ChemForward Services. Except as expressly authorized by ChemForward, in writing, you shall not reproduce, duplicate, copy, sell, resell or exploit for any purpose, any feature or portion of the ChemForward Services.

You agree that you will not use the ChemForward Services, or any features or portions thereof, to (a) upload, transmit, or otherwise make available software viruses, worms, Trojan horses or other harmful or disruptive code or components; (b) disrupt, interfere with or restrict the use of the ChemForward Services by any other user; (c) impersonate any person or entity; (d) upload, transmit, or otherwise make available any commercial promotional materials, including without limitation spam; (e) conduct any illegal activity or further any illegal purpose; (f) post or transmit any unlawful, threatening, defamatory, libelous, obscene, pornographic or profane material, or any material that could constitute or encourage conduct that would be considered a criminal offense or give rise to civil liability, or violate any law; (g) create a product, service, website or software that is, directly or indirectly, competitive with or in any way a substitute, in whole or in part, for the ChemForward Services, or (h) to train any artificial intelligence algorithm or software. You further agree that you will not decompile, reverse engineer, disassemble, or attempt to derive the source code of any software or software application provided or made available as part of the ChemForward Services. In addition to any remedies that ChemForward may have at law or in equity, if ChemForward reasonably determines that you have violated or are likely to violate the foregoing prohibitions, ChemForward may take any actions it reasonably determines are necessary to cure or prevent the violation.

Notwithstanding any provision in any policy in the ChemForward Services to the contrary, ChemForward will fully cooperate with any law enforcement authorities or court order or subpoena requesting or directing it to disclose the identity of anyone posting, transmitting, uploading or otherwise using the ChemForward Services in violation of law.

Notwithstanding the foregoing, it shall not be a violation of this Agreement to provide citation to a ChemForward CHA in the format provided by ChemForward. For the purposes of certification auditing such as EPEAT for example, you may take a screenshot of the assessment summary page (not including hazard points or endpoint rationales) as evidence of a valid chemical hazard assessment. This limited sharing is only permitted for submission to certification bodies.

6. Warranties; Disclaimer and Limitation of Liability

6.1 Warranties. ChemForward represents and warrants that (a) to ChemForward's knowledge, the ChemForward CHAs, when used as authorized under this Agreement, will not violate, misappropriate or infringe on the intellectual property or other proprietary rights of any third party, (b) ChemForward's provision of the ChemForward Services will not violate any contractual obligations that ChemForward owes to any third party, and (c) ChemForward has rights sufficient to enter into this Agreement and to grant the rights provided hereunder.

Except as set forth in this Section 6.1, ChemForward makes no warranties, and shall not be liable for any claims relating to or arising from your use of the ChemForward CHAs, including without limitation, any claims relating to (i) the accuracy or reliability of the ChemForward CHAs; (ii) your use of the ChemForward CHAs except as explicitly authorized in this Agreement; (iii) your use of any ChemForward CHA after its expiration date as stated in the ChemForward Services or after ChemForward has otherwise notified you not to use the ChemForward CHA or to use only an updated or revised version provided by ChemForward.

You are solely responsible for reviewing the ChemForward CHAs and determining whether they, or the materials or formulations described therein, are suitable for your purposes. All decisions by you regarding product materials and manufacturing inputs including, but not limited to, the appropriateness of any ingredient, material, chemical, formulation, or composition, arising out of, relating to or resulting from, in whole or in part, the use of the ChemForward CHAs are strictly your responsibility.

6.2 Disclaimer of Warranties. YOU ACKNOWLEDGE AND AGREE THAT THE CHEMFORWARD SERVICES ARE PROVIDED ON AN "AS IS' AND "AS AVAILABLE" BASIS, AND THAT YOUR USE OF THE CHEMFORWARD SERVICES IS AT YOUR SOLE RISK AND DISCRETION. EXCEPT FOR THE EXPRESS WARRANTIES IN SECTION 6.1, CHEMFORWARD AND ITS LICENSORS HEREBY DISCLAIM ANY AND ALL REPRESENTATIONS, WARRANTIES AND GUARANTIES REGARDING THE CHEMFORWARD SERVICES AND ANY THIRD PARTY CONTENT AND SERVICES, WHETHER ORAL, EXPRESS, IMPLIED OR STATUTORY, AND WHETHER ARISING BY LAW, STATUTE, USAGE OF TRADE, CUSTOM, COURSE OF DEALING OR PERFORMANCE OF THE PARTIES, OR THE NATURE OR CONTEXT OF THESE TERMS, AND INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CHEMFORWARD AND ITS LICENSORS MAKE NO WARRANTY THAT (I) THE CHEMFORWARD SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE CHEMFORWARD SERVICES WILL BE UNINTERRUPTED, ACCURATE, RELIABLE, TIMELY, SECURE, FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS OR ERROR-FREE; OR (III) THE QUALITY OF ANY CHA, CONTENT, PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL ACCESSED OR OBTAINED BY YOU THROUGH THE CHEMFORWARD WILL BE AS REPRESENTED OR MEET YOUR EXPECTATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM CHEMFORWARD OR FROM THE CHEMFORWARD SERVICES SHALL CREATE ANY REPRESENTATION, WARRANTY OR GUARANTY. FURTHERMORE, YOU ACKNOWLEDGE THAT CHEMFORWARD AND ITS LICENSORS HAVE NO OBLIGATION TO CORRECT ANY ERRORS OR OTHERWISE SUPPORT OR MAINTAIN THE CHEMFORWARD SERVICES. YOU ACKNOWLEDGE THAT THE CHEMFORWARD SERVICES ARE NOT INTENDED OR SUITABLE FOR USE IN SITUATIONS OR ENVIRONMENTS WHERE THE PERFORMANCE OF, USE OR MISUSE OF, FAILURE OF, OR ERRORS OR INACCURACIES IN THE CONTENT, DATA OR INFORMATION PROVIDED BY, THE CHEMFORWARD SERVICES COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL, PROPERTY, OR ENVIRONMENTAL DAMAGE. YOU ACKNOWLEDGE AND AGREE THAT CHEMFORWARD AND ITS LICENSORS SHALL HAVE NO LIABILITY TO YOU FOR ANY LOSSES SUFFERED, RESULTING FROM OR ARISING IN CONNECTION WITH COMPATIBILITY OR INTEROPERABILITY PROBLEMS, NOR FOR ANY DEFECTS IN THE CHEMFORWARD SERVICES.

6.2 Limitation of Liability. EXCEPT TO THE EXTENT PROHIBITED BY LAW, UNDER NO CIRCUMSTANCES SHALL CHEMFORWARD, ITS LICENSORS, NOR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, BE LIABLE FOR ACCIDENTS, PROPERTY DAMAGE, PERSONAL INJURY, DEATH, OR FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SALE OR DISTRIBUTION OF, THE PERFORMANCE OR NON-PERFORMANCE, OR YOUR ACCESS OR USE OF OR INABILITY TO ACCESS OR USE THE CHEMFORWARD SERVICES AND ANY THIRD PARTY CONTENT AND SERVICES, WHETHER OR NOT THE DAMAGES WERE FORESEEABLE AND WHETHER OR NOT SUCH PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, CHEMFORWARD'S AGGREGATE LIABILITY TO YOU (WHETHER UNDER CONTRACT, TORT, STATUTE OR OTHERWISE) SHALL NOT EXCEED THE GREATER OF (i) THE AGGREGATE AMOUNT YOU PAID TO CHEMFORWARD FOR THE CHEMFORWARD SERVICES DURING THE ONE MONTH PRECEDING THE DATE THAT THE CLAIM ARISES, OR (iii) TEN DOLLARS ($10.00). THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. These Terms give you specific legal rights, and you may also have other rights under applicable law. The disclaimers, exclusions, and limitations of liability under these Terms will not apply to the extent prohibited by applicable law.

7. Indemnification

You shall indemnify, defend and hold harmless ChemForward and its licensors, and their respective officers, directors, agents and employees (the "Indemnified Parties") from and against any claim, proceeding, loss, damage, fine, penalty, interest and expense (including, but not limited to, fees for attorneys and other professional advisors) arising out of or in connection with the following: (i) your access to or use of the ChemForward Services in breach of this Agreement or outside the scope of the license granted herein; (ii) your breach of these Terms; (iii) your violation of any law or regulation; (iv) any User Content you submit or that is submitted through your account including without limitation misleading, false or inaccurate information; (v) your negligence or willful misconduct; or (vi) your violation of the rights of a third party. You will promptly notify ChemForward in writing of any third-party claim arising out of or in connection with your access to or use of the ChemForward Services.

8. Payment

You agree to pay to ChemForward all fees set forth in the applicable Order in accordance with the payment terms set forth in the applicable Order. If you fail to pay any such fees when due, ChemForward reserves the right to suspend or terminate your access to the ChemForward Services, and to pursue any and all legal remedies to collect the amounts owed by you. You are solely responsible for all charges associated with your ChemForward account and registration.

9. Term and Termination

The initial term of this Agreement (the "Initial Term") shall be the term of the ChemForward Services set forth on the applicable Order, unless sooner terminated in accordance with this Section 9. After the Initial Term, the parties may agree in writing to extend the Agreement for additional successive one-year periods (each, a "Renewal Period" and together with the Initial Term, the "Term").

In the event you breach any term or condition of this Agreement, ChemForward will have the right to terminate this Agreement if the default is not cured within thirty (30) days after ChemForward provides you with written notice of the breach. Upon any termination or expiration of this Agreement, all licenses granted by ChemForward herein shall terminate.

10. Dispute Resolution and Arbitration

In the event of a dispute between the parties with regard to any duty or obligation arising under this Agreement, the parties agree (a) to negotiate in good faith; (b) mediation within thirty (30) calendar days of a demand for mediation, as a precondition to arbitration, and (c) in the absence of an agreement, arbitration. Arbitration shall be conducted by a single arbitrator. The parties shall endeavor to agree upon the selection of an arbitrator, but in the absence of an agreement, the arbitrator shall be selected by the Presiding Judge of the Superior Court of Delaware. The arbitrator shall establish and apply such procedures and rules designed to fairly and efficiently permit the parties an opportunity to investigate and present their evidence and arguments, recognizing that a virtue of arbitration is intended to be cost-efficiency and lead to a prompt resolution.

11. Governing Law

All disputes related to the ChemForward Services, including, without limitation, any disputes related to these Terms, shall be governed exclusively by the laws of the United States and the internal laws of Delaware.

12. General

a. Any rights, representations, and/or obligations under this Agreement that by their nature extend beyond the term of this Agreement (including those contained in Sections 3, 6, 7, 10, 11 and 12) shall survive expiration or earlier termination of the Agreement.

b. You shall pay all fees and charges incurred through your account, and all such fees and charges shall be billed to and paid for by you. You shall pay all applicable taxes relating to use of the fee-bearing features through your account.

c. ChemForward's failure to enforce a provision of these Terms is not a waiver of its right to do so later. If any provision of these Terms is found to be unenforceable, the remaining provisions of these Terms will remain in full effect and an enforceable Term will be substituted reflecting the parties' intent as closely as possible.

d. You may not assign these Terms or any of your rights or obligations under these Terms, and any such attempt will be void.

e. This Agreement, including the applicable Order, these Terms and the Privacy Policy set forth in Attachment A, constitutes the entire understanding of the parties regarding the subject matter hereof and revokes and supersedes any prior representations, advertisements, statements, proposals, negotiations, discussions or understandings regarding the same subject matter. Except as expressly provided herein, this Agreement can be modified only by a written agreement signed by the parties.

ATTACHMENT A - CHEMFORWARD PRIVACY POLICY

This Privacy Policy is part of the Terms and Conditions for ChemFORWARD Services ("Terms" and other capitalized terms are used as defined in the Terms), and describes how ChemFORWARD may collect, use and handle your personal information when you use the ChemFORWARD Services.

Information You Provide

ChemFORWARD collects and uses the following information to provide, improve, promote and protect the ChemFORWARD Services:

Account Registration. As part of the registration process, we may ask you to provide, and if you provide we will associate with your account, information such as your name, email address, phone number, and billing information including your physical address. You may edit your account information at any time by signing into your account.

ChemFORWARD Services. When you use the ChemFORWARD Services, we may collect certain information about the device(s) from which you access the ChemFORWARD Services, such as your device and operating system type, identifiers associated with your device, including your IP address, geographic location, the webpage you visited before coming to the ChemFORWARD website, and your usage of the ChemFORWARD Services.

Analytics and Behavioral Information

We may collect analytics data, or use third-party analytics tools such as Google Analytics, to help us measure traffic, user events, and usage trends for the ChemFORWARD Services and to understand more about the demographics of our users. We may also track analytics data and viewing activity of content created by or hosted on the ChemFORWARD Services. How We Use This Information

In general, ChemFORWARD uses personal information to facilitate your use of the ChemFORWARD Services, to provide you with information and services you request, to communicate with you about the ChemFORWARD Services, to bill and process payments for any ChemFORWARD Services you purchase, and to administer, assist with and improve the operation of the ChemFORWARD Services.

In addition, if you so indicate in your Account Preferences, we may use the information we collect to send you news and product and service updates and for other marketing, informational, product development and promotional purposes relating to the ChemFORWARD Services.

How We May Share This Information

Third-Party Service Providers. ChemFORWARD may rely on trusted third parties to help provide, improve, protect and promote the ChemFORWARD Services. We may share your personal information including your billing information with other third parties, such as payment processors, who help ChemFORWARD provide the ChemFORWARD Services. These third parties will access your information only to perform tasks on behalf of ChemFORWARD and in compliance with this Privacy Policy.

Law Enforcement and Other Government Entities. ChemFORWARD may disclose your information to government or law enforcement officials if we determine that such disclosure is reasonably necessary to (a) comply with the law; (b) protect any person from death or serious bodily injury; (c) prevent fraud or abuse of ChemFORWARD or our users, or (d) protect the intellectual property rights of ChemFORWARD or our licensors.

Other. In addition, information about ChemFORWARD customers, including personal information, may be disclosed as part of any merger, acquisition, financing, reorganization, change of control, sale or other transfer of all or a portion of ChemFORWARD's business by another company or third party, or in the event of bankruptcy or related or similar proceedings.

We may also provide aggregated, non-personally identifiable information to third parties for any legal purposes whatsoever.

Information Protection

ChemFORWARD maintains reasonable security measures to help protect your information from loss, destruction, misuse, unauthorized access or disclosure. These technologies help ensure that your data is safe, secure, and only available to you and those to whom you provide authorized access. However, no data transmission over the Internet or information storage can be guaranteed to be 100% secure.

From time to time when using the ChemFORWARD Services you may be directed to a third-party website that is beyond our control. ChemFORWARD has no control over any third-party websites, nor over how they may collect, distribute, or otherwise use, safeguard or store your personal information. ChemFORWARD is not responsible or liable for the conduct, content, policies or actions of any third-party website. Any third-party websites are linked to the ChemFORWARD Services only for your convenience, and your access to them is at your own risk.

Data Retention

ChemFORWARD will retain your information for as long as needed to provide the ChemFORWARD Services and for our internal business purposes, which may extend beyond the termination or cancellation of your subscription or user account, or until we receive a deletion request. Please contact us at accounts@ChemFORWARD.org if you wish to delete your account permanently from our systems. Please be aware that we will not be able to delete any content you have posted to third-party services.

Where Information is Stored; Special Note for Users Outside the United States

To provide you with the ChemFORWARD Services, we store, process and transmit information in locations in the United States. The ChemFORWARD website is hosted in the United States.

If you are a user accessing the ChemFORWARD Services from a location outside the United States, such as the European Union ("EU"), Asia, or any other region with laws or regulations governing personal data collection, use and disclosure, that differ from United States laws, please be advised that through your continued use of the ChemFORWARD Services, which are governed by United States law, this Privacy Policy and the Terms, you are transferring your personal information to the United States and you consent to that transfer.

Legal Basis for Processing in the EU

In the EU, the purposes for which we process your personal data are:

- where we need to perform the contract we are about to enter into or have entered into with you for the ChemFORWARD Services;

- where it is necessary for our legitimate interests (or those of a third party) and your interests and fundamental rights do not override those interests such as (i) to contact you and respond to your requests and inquiries; (ii) for business administration, including statistical analysis; (iii) to provide the ChemFORWARD Services to you; and (iv) for fraud prevention and detection; and

- where we need to comply with a legal or regulatory obligation in the EU.

We may also process your personal data on the basis of your freely given, specific, informed and unambiguous consent. You should be aware that you are entitled under the EU General Data Protection Regulation ("GDPR") to withdraw your consent where that has been given, at any time. If you do this and we have no alternative lawful reason to process your personal data, this may affect our ability to provide you with rights to use the ChemFORWARD Services. Please contact us at accounts@ChemFORWARD.org if you need details about the specific legal basis we are relying on to process your personal data where more than one legal basis has been set out.

EU General Data Protection Regulation

EU users' specific rights and choices. If you are located in the EU or Switzerland, you have the following rights in respect of your personal data that we hold:

- Right of access. The right to obtain access to your personal data;

- Right to rectification. The right to obtain rectification of your personal data without undue delay where that personal data is inaccurate or incomplete;

- Right to erasure. The right to obtain the erasure of your personal data without undue delay in certain circumstances, such as where the personal data is no longer necessary in relation to the purposes for which it was collected or processed;

- Right to restriction. The right to obtain the restriction of the processing undertaken by us on your personal data in certain circumstances, such as where the accuracy of the personal data is contested by you, for a period enabling us to verify the accuracy of that personal data;

- Right to portability. The right to portability allows you to move, copy or transfer personal data easily from one organization to another; and

- Right to object. You have a right to object to processing based on legitimate interests and direct marketing.

Changes

We may revise this Privacy Policy from time to time, with or without notice to you, by posting a copy of the most current version on our website and/or making it available through the ChemFORWARD Services.
